Item 1: The information.

All information concerning the reciprocal trade exchange known as Tradebank which information shall include but not be limited to intellectual property, software, management systems, report and associated support procedures, trade methods and concepts, stationary, marketing material, correspondence, client database directory and related information, information concerning the ownership, financial structure and position of the Disclosing Party and/or its Franchise Principals or Franchisees.

Item 1: The Purpose.

To enable the Receipient Party to evaluate the commercial feasibility of entering into a business relationship with the Disclosing Party for a Tradebank Franchise.

Credit Reference Approval

The Applicant is:

Interested in obtaining further information concerning Tradebank International Inc and the Tradebank Trading Program. The information given on the Franchise Application Form (the "Application") is given voluntarily with the assurance that it will be held in strict confidence.

I/We have read and understood the particulars which I/we have completed in the Application and state that these particulars are true and complete and have been made to Tradebank to enable it to determine whether to proceed with this Application.

I/We hereby appoint Tradebank as my/our agent for the purpose of ascertaining personal information from trade credit references with respect to my/our credit worthiness.

I/We agree to Tradebank obtaining from a credit reporting agency a credit report containing personal credit information about me/us in relation to commercial credit provided by Tradebank.

I/We acknowledge that if any information included in this Application is false or misleading, Tradebank shall have the right to terminate any Franchise Agreement entered into on the basis of the information contained in the Application.

I/We acknowledge that Tradebank may retain copies of this Application for its records, whether or not this Application is successful.
